Equipment Lease Agreement

This Equipment Lease Agreement ("Agreement") is entered into between Prescott Farm Innovations LLC ("Lessor") and you, the customer ("Lessee").

1. Lease of Equipment

The Lessee may lease WET Stake notification devices at no cost ($0.00) provided the Lessee maintains a paid-in-full service agreement for each WET Stake notification device, or the Lessee commits to purchasing a service agreement for the following season.

2. Equipment Deposit

The Lessee shall pay a deposit in the amount specified on the invoice (typically $200.00 per device). The deposit does not cover the full cost of the device.

Upon termination of the lease with compliance of all terms, the Lessor will refund the deposit through the Lessor's chosen method.

3. Equipment Return

The Lessee must return equipment within one month after the service agreement ends if the Lessee does not intend to use the equipment for the next season.

• Non-payment without use for a season results in a $50 deduction from the deposit
• Failure to return equipment after a second season results in full deposit forfeiture

4. Equipment Warranty

The Lessor warrants that the equipment arrives in good working condition. If you are not satisfied with your device within 60 days of receipt, you may return it for a full refund of your deposit and service fees.

The Lessor will replace defective devices at no cost. However, the Lessor disclaims any and all other warranties, express or implied.

5. Damage and Loss

The Lessee is liable for damage beyond normal wear and tear. The Lessee shall use the equipment only as instructed. Tampering with or modifying the equipment voids any warranty and creates additional liability.

If equipment is lost or destroyed, a $300 replacement fee is required to continue service. This fee is waived if the equipment was stolen and the Lessee files a police report and submits it within 30 days.

6. Lessee Responsibilities

The Lessee agrees to:

• Use the equipment only for its intended purpose
• Follow all care and installation instructions
• Protect the equipment from damage, loss, or theft
• Report any equipment issues promptly
• Return the equipment upon request or termination of service
• Not modify, disassemble, or tamper with the equipment

7. Indemnification

The Lessee shall indemnify, protect, and hold harmless the Lessor from any and all claims, actions, suits, proceedings, damages, and liabilities arising from the operation of the equipment.

8. Limitation of Liability

The WET Stake is designed to assist in watering and is not a flood prevention device. The Lessor is not liable for any water damage.

The Lessor's liability is limited to the fees paid for service. The Lessor is not responsible for:

• Damage that occurs before alerts are received or acted upon
• Service interruptions due to cellular network issues
• Acts of nature or circumstances beyond reasonable control

9. Default

Failure to pay within 15 days constitutes default, allowing the Lessor to repossess equipment. The Lessee shall pay all attorney fees in enforcement proceedings.

10. Governing Law

This Agreement shall be governed by the laws of the State of Idaho. Jefferson County, Idaho is the designated forum for any disputes.

Appendix A: Replacement Parts Cost (Effective 2025)

The following table outlines the replacement values for individual parts of a WET Stake device. These values apply when a specific part is damaged or lost. Repair labor is included in the annual service fee and is not charged separately unless otherwise stated.
